These Terms and Conditions apply to Orderflow Haus educational services and digital resources made available through orderflowhaus.com, Whop, and the Orderflow Haus Discord community. References to server content also include corresponding educational content supplied through these services. Read these Terms together with our Return and Refund Policy, Privacy Policy, and End User License Agreement.

PAYMENTS AND REFUND POLICY

ALL SALES ARE FINAL, except where a refund, cancellation, reversal, or other remedy is required by applicable law, card-network rules, or Whop's applicable policies and obligations. This policy does not limit non-waivable consumer rights or legitimate payment-dispute rights.

Paid products may be sold as recurring subscriptions or one-time purchases, as clearly stated at checkout. Whop processes payments, including when its checkout is embedded on our website. The free community option is separate from paid products and does not automatically convert into a paid subscription. Cancel recurring subscriptions through your Whop account before the next renewal to stop future charges. See our Return and Refund Policy for the full cancellation and refund terms.

OVERVIEW

This Return and Refund Policy ('Policy') governs all purchases and subscriptions made through Orderflow Haus via Whop or any other platform through which our digital products and services are sold. By completing a purchase or subscribing to any of our services, you acknowledge that you have read, understood, and agree to be bound by this Policy in its entirety.

This Policy forms part of our Terms and Conditions and is incorporated by reference therein.

NATURE OF DIGITAL SERVICES

Orderflow Haus provides exclusively digital products and services, including but not limited to: access to a private Discord community, trading education materials, trade ideas, indicator access, trading bot access, recorded and live educational content, and any other digital resources made available through our Whop page or Discord server. By their nature, digital products and services are intangible. Digital access is generally supplied after payment confirmation; scheduled services such as mentorship are delivered as described at checkout. Once access has been granted, the content cannot be 'returned' in any meaningful sense. Accordingly, all sales are subject to the limitations set forth in this Policy.

ALL SALES FINAL

ALL SALES ARE FINAL, except where a refund, cancellation, reversal, or other remedy is required by applicable law, card-network rules, or Whop's applicable policies and obligations. This policy does not limit non-waivable consumer rights or legitimate payment-dispute rights.

Paid subscriptions, renewals, one-time purchases, and mentorship purchases are non-refundable except as stated above and under Exceptions below. Payment is due at purchase; recurring plans renew at the price and interval shown at checkout until cancelled. Free community access is a separate option and does not automatically convert to a paid subscription.

Subject to those exceptions, non-use, dissatisfaction, trading results, partial billing periods, or technical issues on your device do not entitle you to a refund or credit. Review the product description, requirements, price, and billing terms before purchasing. Ask questions through the free community if you are unsure.

CHARGEBACKS AND PAYMENT DISPUTES

Contact Orderflow Haus or Whop promptly if a charge is incorrect, duplicated, unauthorized, or the purchased service has not been supplied. We will cooperate with legitimate billing inquiries and payment disputes. Nothing in this Policy waives rights available under applicable law, card-network rules, or Whop policies.

Knowingly fraudulent payment disputes or abuse of the Services may result in suspension or termination, subject to applicable law and Whop policies. An honest complaint or good-faith exercise of a statutory or payment-dispute right is not, by itself, a breach of this Policy.

CANCELLATION POLICY

You may cancel your subscription at any time through your Whop account dashboard. Cancellation will take effect at the end of your current billing cycle, and you will retain access to the services through the remainder of the period for which you have paid. Cancellation does not entitle you to a refund of any portion of fees already charged. It is your responsibility to manage your subscription and cancel prior to renewal if you do not wish to continue.

EXCEPTIONS

Required refunds, reversals, and remedies remain available under applicable law, card-network rules, and Whop policies. Billing errors, duplicate charges, and non-delivery should be reported promptly through Whop or our official support channels so they can be investigated.

Where no mandatory remedy applies, Orderflow Haus may consider a documented request involving a verified billing error or an unresolved failure to provide purchased access. A discretionary exception does not create an ongoing refund entitlement. No discretionary deadline or decision in this Policy limits a mandatory right or the review powers of Whop, your payment provider, or a competent authority.

GOVERNING LAW AND DISPUTE RESOLUTION

This Policy shall be governed by and construed in accordance with the laws of the applicable jurisdiction of Orderflow Haus. Any disputes arising out of or relating to this Policy or any purchase made through our platforms shall first be submitted to good-faith informal negotiation. If informal resolution is not achieved within thirty (30) days, disputes shall be resolved through binding arbitration, and you waive any right to participate in a class-action lawsuit or class-wide arbitration in connection with any such dispute.

MODIFICATIONS TO THIS POLICY

Orderflow Haus reserves the right to update or modify this Return and Refund Policy at any time without prior notice.

Changes will be effective immediately upon posting to our Whop page or Discord server. Your continued use of the services following any such modification constitutes your acceptance of the revised Policy. It is your responsibility to review this Policy periodically.

MANDATORY RIGHTS

If any other provision of this Policy conflicts with a mandatory consumer right or applicable Whop payment requirement, that right or requirement takes precedence.

INTRODUCTION AND IDENTITY OF THE DATA CONTROLLER

This Privacy Policy ('Policy') is issued by Orderflow Haus, operated by xJMacD ('we,' 'us,' 'our,' or 'Data Controller'). It describes how we collect, use, store, share, and protect personal data relating to individuals ('you,' 'user,' or 'Data Subject') who access our services through Whop, Discord, or any other platform through which Orderflow Haus operates.

For the purposes of the General Data Protection Regulation (EU) 2016/679 ('GDPR'), the UK General Data Protection Regulation ('UK GDPR'), and all other applicable data protection legislation, Orderflow Haus acts as the Data Controller in respect of personal data collected directly through our services.

This Policy describes our privacy practices and rights that may apply under the GDPR, UK GDPR, the California Consumer Privacy Act ('CCPA'), and other applicable laws, depending on your location and the scope of those laws. By accessing or using our services, you acknowledge that you have read and understood this Policy.

LEGAL BASIS FOR PROCESSING (GDPR ARTICLE 6)

We only process your personal data where we have a valid legal basis to do so. The legal bases we rely upon are as follows:

Contract Performance (Article 6(1)(b)): Processing necessary to deliver your subscription, manage your account, process payments, and provide access to our services.

Legitimate Interests (Article 6(1)(f)): Processing necessary for our legitimate business interests, including community moderation, fraud prevention, abuse detection, service improvement, and the enforcement of our Terms and Conditions

provided such interests are not overridden by your fundamental rights and freedoms.

Legal Obligation (Article 6(1)(c)): Processing necessary to comply with applicable laws, including financial recordkeeping requirements, tax obligations, and responses to lawful requests from public authorities.

Consent (Article 6(1)(a)): Where we rely on consent as a legal basis, you have the right to withdraw that consent at any time without affecting the lawfulness of processing carried out prior to withdrawal. Withdrawal of consent may be exercised by contacting us through the channels listed in the Contact section of this Policy.

Where we process special categories of personal data (Article 9 GDPR), we will identify and rely upon an appropriate additional legal basis, including your explicit consent where required.

INFORMATION WE COLLECT

Information You Provide Directly

Username, display name, and profile information associated with your Whop or Discord account.

Email address, where provided during account registration or direct communication.

Payment information, processed exclusively by Whop's payment infrastructure and third-party processors (e.g., Stripe). We do not directly collect, store, or have access to full payment card numbers or bank account details.

Messages, posts, and content you submit within our Discord server or via Whop's messaging system.

Information submitted when contacting us for support, including the content of your communications.

Information Collected Automatically

Subscription status, access timestamps, and usage data generated through Whop's platform infrastructure.

Discord activity data visible to server administrators, including message history, role assignments, and server join/leave events, as permitted by Discord's API and platform architecture.

Technical data such as IP address, device type, browser type, and operating system, where collected by Whop's or Discord's underlying infrastructure.

We do not collect sensitive personal data (special categories under Article 9 GDPR) unless you voluntarily provide such information in communications, in which case we will treat it with appropriate care and rely on explicit consent as the legal basis for any processing.

HOW WE USE YOUR PERSONAL DATA

We process your personal data for the following purposes and on the corresponding legal bases:

Detecting, preventing, and responding to fraud, abuse, chargebacks, and other unlawful activity. [Legal basis: Legitimate Interests / Legal Obligation]

Improving our services, educational content, and community experience through aggregated or anonymized analysis. [Legal basis: Legitimate Interests]

Complying with applicable legal obligations, court orders, and regulatory requirements. [Legal basis: Legal Obligation] We will not use your personal data for purposes materially incompatible with those listed above without first providing notice and, where required, obtaining your consent.

THIRD-PARTY PLATFORMS AND DATA PROCESSORS

We engage third-party platforms and service providers who may process your personal data on our behalf ('Data Processors') or as independent Data Controllers. We only engage processors who provide sufficient guarantees of GDPR-compliant data handling.

Whop (whop.com): Subscription management, payment processing, and account infrastructure. Whop acts as an independent Data Controller in respect of data it collects through its platform. Please refer to Whop's Privacy Policy.

Discord (discord.com): Community server communication infrastructure. Discord acts as an independent Data Controller in respect of data processed through its platform. Please refer to Discord's Privacy Policy.

Payment Processors (e.g., Stripe): Financial transaction processing. These processors are subject to PCI-DSS compliance and their own privacy frameworks.

Where we share data with processors acting on our behalf, we do so under Data Processing Agreements ('DPAs') that impose obligations consistent with Article 28 of the GDPR. We do not sell your personal data to any third party for commercial purposes.

INTERNATIONAL DATA TRANSFERS

Our services are operated from the United States. If you are located in the European Economic Area (EEA), United Kingdom, or another jurisdiction with data transfer restrictions, please be aware that your personal data may be transferred to and processed in the United States or other countries that may not provide the same level of data protection as your home jurisdiction.

Where such transfers occur, we ensure appropriate safeguards are in place as required by Articles 44-49 of the GDPR, including:

Reliance on third-party platforms (such as Whop and Discord) that rely on European Commission adequacy decisions, Standard Contractual Clauses (SCCs), or other approved transfer mechanisms under the GDPR.

For transfers to the United States, reliance on the EU-U.S. Data Privacy Framework where applicable.

You may request further information about the specific transfer mechanisms applicable to your data by contacting us through the channels listed in the Contact section of this Policy.

DATA RETENTION

We retain personal data only for as long as is necessary to fulfill the purposes for which it was collected, to comply with our legal obligations, and to resolve disputes or enforce our agreements. Our retention periods are as follows:

Subscription and transaction records: Retained for a minimum of seven (7) years in accordance with applicable financial and tax recordkeeping obligations.

Support communications and exception request records: Retained for a minimum of three (3) years following resolution.

Moderation and enforcement records (including ban records, chargeback records, and policy violation logs): Retained for a minimum of five (5) years, or indefinitely where necessary to protect legitimate interests.

Discord message history: Subject to Discord's own data retention infrastructure and policies; we do not independently control the duration of Discord's storage of message data.

At the end of the applicable retention period, personal data is securely deleted or anonymized. Where anonymization is applied, the resulting data is no longer considered personal data and may be retained indefinitely for analytical purposes.

YOUR RIGHTS AS A DATA SUBJECT (GDPR ARTICLES 15-22)

If you are located in the EEA or United Kingdom, you have the following rights under the GDPR and UK GDPR, which you may exercise free of charge:

Right of Access (Article 15): The right to obtain confirmation of whether we process your personal data and, if so, to receive a copy of that data along with information about how it is processed.

Right to Rectification (Article 16): The right to request correction of inaccurate or incomplete personal data we hold about you.

Right to Erasure / Right to be Forgotten (Article 17): The right to request deletion of your personal data where it is no longer necessary for the purposes for which it was collected, where you withdraw consent, or where processing is unlawful - subject to applicable legal exceptions.

Right to Restriction of Processing (Article 18): The right to request that we restrict the processing of your personal data in certain circumstances, such as while accuracy is contested or an objection is being assessed.

Right to Data Portability (Article 20): The right to receive personal data you have provided to us in a structured, commonly used, machine-readable format, and to transmit that data to another controller where technically feasible and legally applicable.

Right to Object (Article 21): The right to object at any time to processing of your personal data based on legitimate interests or for direct marketing purposes. We will cease such processing unless we demonstrate compelling legitimate grounds that override your rights.

Rights Related to Automated Decision-Making (Article 22): We do not subject users to solely automated decisions that produce significant legal or similarly significant effects. If this practice changes, we will notify you and provide appropriate safeguards.

Right to Withdraw Consent (Article 7(3)): Where processing is based on consent, you have the right to withdraw that consent at any time without affecting the lawfulness of prior processing.

To exercise any of these rights, please submit a written request through the official Whop messaging system or the designated support channel in our Discord server. We will respond within one (1) month of receipt of your request, with the possibility of a two-month extension in cases of complexity, of which you will be informed. We may require verification of your identity before processing your request.

RIGHT TO LODGE A COMPLAINT

If you are located in the EEA or United Kingdom and believe that our processing of your personal data infringes applicable data protection law, you have the right to lodge a complaint with the relevant supervisory authority in your country of residence or the country where the alleged infringement occurred.

UK residents may contact the Information Commissioner's Office (ICO) at: ico.org.uk We would, however, encourage you to contact us in the first instance so that we may seek to resolve your concern directly.

CALIFORNIA RESIDENTS - CCPA RIGHTS

If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to know what personal information is collected about you, the right to delete personal information, the right to correct inaccurate personal information, the right to opt out of the sale or sharing of personal information, and the right to non-discrimination for exercising your privacy rights.

We do not sell personal information as defined under the CCPA. To exercise your CCPA rights, please contact us through the channels listed below. We will respond within forty-five (45) days, with a possible extension of an additional forty-five (45) days where reasonably necessary.

WEBSITE, COOKIES AND THIRD-PARTY CONTENT

Orderflow Haus uses its website to present its services and provide access to Whop checkout. The website loads some fonts from Google Fonts, which means your browser requests those font resources from Google. Outside third-party checkout, the current website code does not set first-party cookies or include an analytics or advertising tracker.

Whop checkout loads when you choose to continue to checkout on our website. Your browser then connects directly to Whop and its payment providers, which process checkout and payment information under their own policies. Whop and Discord may use cookies, web beacons, or similar technologies under their own policies. We will update this notice and provide any legally required choices before introducing additional tracking or other material changes to data processing.

CHILDREN'S PRIVACY

Our services are not directed to individuals under the age of eighteen (18). We do not knowingly collect personal data from minors. If you are a parent or legal guardian and believe a minor has provided personal data to us without authorization, please contact us immediately. Upon verification, we will promptly delete such data and terminate the associated account in compliance with applicable law, including the Children's Online Privacy Protection Act (COPPA) where applicable.

DATA SECURITY

We implement appropriate technical and organizational measures to protect personal data against unauthorized access, accidental loss, destruction, alteration, or disclosure, in accordance with Article 32 of the GDPR. These measures include access controls, account security practices, and reliance on the security infrastructure of our third-party platform providers.

Notwithstanding the foregoing, no transmission of data over the internet and no digital storage system is entirely secure.

We cannot guarantee absolute security, and you transmit information to us at your own risk.

In the event of a personal data breach that is likely to result in a risk to the rights and freedoms of affected individuals, we will notify the relevant supervisory authority within seventy-two (72) hours of becoming aware, as required by Article 33 of the GDPR, and will notify affected Data Subjects without undue delay where required by Article 34.

DATA PROTECTION BY DESIGN AND BY DEFAULT

Consistent with Article 25 of the GDPR, we apply the principles of data protection by design and by default. This means we consider data privacy implications when introducing new services or processing activities, limit data collection to what is strictly necessary for the specified purpose, restrict access to personal data to those who require it, and default to the most privacy-protective settings available within the platforms we use.

MODIFICATIONS TO THIS POLICY

We reserve the right to update or modify this Privacy Policy at any time to reflect changes in our practices, legal requirements, or platform operations. Material changes will be communicated to users via a notice on our Whop page or within our Discord server at least fourteen (14) days prior to taking effect, where practicable. For changes required by law, notice will be provided as soon as reasonably possible.

Your continued use of our services following the effective date of any modification constitutes acceptance of the revised Policy. If you do not agree with the revised terms, you must discontinue use of our services.

Please note that requests submitted through unofficial or unverified channels may not be acknowledged or actioned. We aim to respond to all legitimate privacy-related requests within the timeframes required by applicable law.

At this time, Orderflow Haus does not maintain a separate Data Protection Officer (DPO). If our processing activities change in a manner that triggers the DPO appointment requirement under Article 37 of the GDPR, we will designate a DPO and update this Policy accordingly.

IMPORTANT - PLEASE READ CAREFULLY

This End User License Agreement ('EULA' or 'Agreement') is a legally binding contract between you ('User,' 'you,' or 'your') and Orderflow Haus, operated by xJMacD ('Licensor,' 'we,' 'us,' or 'our'). This Agreement governs your access to and use of all digital products, services, content, tools, indicators, trading bots, educational materials, and community resources made available through Orderflow Haus via Whop, Discord, or any other platform through which our services are delivered (collectively, the 'Services').

BY JOINING OUR WHOP PAGE, SUBSCRIBING TO ANY PLAN, ACCESSING OUR DISCORD SERVER, OR OTHERWISE USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS EULA IN ITS ENTIRETY. If you do not agree to these terms, you must immediately cease use of the Services and cancel any active subscription.

This EULA should be read alongside our Terms and Conditions, Return and Refund Policy, and Privacy Policy, each of which is incorporated herein by reference and forms part of the complete agreement between you and Orderflow Haus.

ELIGIBILITY

By accepting this EULA, you represent and warrant that:

You are at least eighteen (18) years of age, or the age of legal majority in your jurisdiction if higher.

You have the legal capacity and authority to enter into a binding agreement.

Your use of the Services does not violate any applicable law or regulation in your jurisdiction.

You are not located in a country subject to a U.S. government embargo or designated as a 'terrorist-supporting' country, and you are not listed on any U.S. government list of prohibited or restricted parties.

If you are accepting this EULA on behalf of a legal entity, you represent that you have authority to bind that entity to these terms, and references to 'you' shall apply to that entity.

GRANT OF LICENSE

Subject to your compliance with this EULA and payment of all applicable subscription fees, Orderflow Haus hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and use the Services solely for your own personal, non-commercial educational and informational purposes.

View, interact with, and engage with the content, indicators, tools, and community resources made available to you within your subscription tier.

Access and use any trading indicators, bots, or scripts provided as part of your subscription solely for personal use on supported platforms, subject to the restrictions set forth in this Agreement.

This license does not include any right to copy, reproduce, modify, distribute, sublicense, sell, resell, publicly display, publicly perform, transmit, or create derivative works of any portion of the Services or content, except as expressly permitted in writing by Orderflow Haus. All rights not expressly granted herein are reserved by Orderflow Haus.

INTELLECTUAL PROPERTY OWNERSHIP

All content, materials, tools, indicators, scripts, trading bots, strategies, educational resources, branding, trademarks, trade names, logos, and other intellectual property made available through the Services ('Proprietary Content') are the sole and exclusive property of Orderflow Haus and xJMacD, or are used under license. Nothing in this EULA transfers any ownership interest in any Proprietary Content to you.

Your subscription grants you a limited license to access and use Proprietary Content as set forth herein. You do not acquire any ownership rights by virtue of accessing or using the Services. Any unauthorized use of Proprietary Content constitutes an infringement of our intellectual property rights and may result in civil and criminal liability.

Any feedback, suggestions, ideas, or improvements you voluntarily provide regarding the Services may be used by Orderflow Haus without restriction or compensation to you, and you hereby assign to Orderflow Haus all rights in such submissions.

RESTRICTIONS ON USE

You expressly agree that you will not, directly or indirectly:

Copy, reproduce, distribute, republish, upload, post, display, transmit, or sell any Proprietary Content in any form or by any means without prior written consent from Orderflow Haus.

Share, resell, sublicense, or otherwise transfer your account credentials, subscription access, or any content received through the Services to any third party.

Screenshot, record, screen-capture, or otherwise reproduce proprietary trade ideas, strategies, indicator outputs, or educational content for redistribution or commercial use.

Reverse engineer, decompile, disassemble, decode, adapt, or attempt to derive the source code of any trading indicator, script, bot, or software provided as part of the Services.

Use the Services or any content derived therefrom to develop, train, or improve any competing product, service, algorithm, or artificial intelligence system.

Use automated tools, bots, scrapers, or scripts to access, harvest, or extract content from our Discord server or Whop page without express written authorization.

Engage in any conduct that disrupts, interferes with, or impairs the functionality, security, or integrity of the Services or the experience of other members.

Use the Services to engage in any fraudulent, misleading, unlawful, defamatory, harassing, abusive, or otherwise harmful activity.

Circumvent, disable, or otherwise interfere with any security features, access controls, or usage restrictions implemented in connection with the Services.

Create multiple accounts for the purpose of evading suspension or a ban.

Violation of any restriction set forth in this section constitutes a material breach of this EULA and may result in immediate termination of your license and access without refund, in addition to any other remedies available to Orderflow Haus at law or in equity.

SUBSCRIPTION, FEES, AND PAYMENT

Access may be provided through a free community option, a recurring subscription, or a one-time purchase, as stated in the relevant product description and checkout. Recurring charges apply only to plans identified as recurring at checkout. Subscription fees, billing cycles, and available plans are as listed on our Whop page at the time of purchase and are subject to change with reasonable notice. By initiating or continuing a subscription, you authorize Orderflow Haus and our payment processors to charge your designated payment method on a recurring basis for the applicable subscription fee.

All fees are stated in U.S. dollars unless otherwise indicated. You are responsible for any applicable taxes, duties, or charges imposed by your jurisdiction in connection with your subscription. Failure to maintain a valid payment method on file may result in suspension or termination of your access to the Services.

ALL SALES ARE FINAL, except where a refund, cancellation, reversal, or other remedy is required by applicable law, card-network rules, or Whop's applicable policies and obligations. This policy does not limit non-waivable consumer rights or legitimate payment-dispute rights. Please refer to our Return and Refund Policy for cancellation procedures and applicable exceptions. The free community option is separate from paid products and does not automatically convert into a paid subscription.

TRADING INDICATORS, BOTS, AND TOOLS

Any trading indicators, Pine Script tools, algorithmic scripts, or trading bots ('Trading Tools') made available through the Services are provided strictly under the license terms of this EULA and are subject to the following additional conditions:

Trading Tools are licensed for your personal, non-commercial use only on supported platforms (e.g., TradingView).

You may not share, distribute, publish, sell, or transfer Trading Tools or any derivative thereof to any third party.

Trading Tools are provided 'as is' without warranty of any kind. Their performance is subject to market conditions, platform limitations, and other external factors entirely beyond our control.

Past performance of any Trading Tool is not indicative of future results. No representation is made that any Trading Tool will generate profits or prevent losses.

You are solely responsible for all trading decisions made in connection with any Trading Tool. Orderflow Haus assumes no liability for any financial losses arising from your use of or reliance on any Trading Tool.

Orderflow Haus reserves the right to modify, update, deprecate, or discontinue any Trading Tool at any time without notice and without liability to you.

DISCLAIMER OF WARRANTIES

THE SERVICES, PROPRIETARY CONTENT, AND TRADING TOOLS ARE PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORDERFLOW HAUS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Any warranty that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Any warranty regarding the accuracy, completeness, timeliness, or reliability of any content, trade ideas, strategies, or information provided through the Services.

Any warranty that the Services will meet your individual requirements or expectations.

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by applicable law.

LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORDERFLOW HAUS, XJMACD, OR THEIR RESPECTIVE AFFILIATES, MODERATORS, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY:

Indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, loss of goodwill, or trading losses, even if advised of the possibility of such damages.

Direct damages in excess of the total subscription fees paid by you to Orderflow Haus in the three (3) month period immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory under which the claim is brought - whether in contract, tort (including negligence), strict liability, or otherwise - and even if Orderflow Haus has been advised of the possibility of such damages.

Nothing in this EULA excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by gross negligence, or any other liability that cannot be excluded or limited under applicable law.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Orderflow Haus, xJMacD, and their respective affiliates, moderators, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

Your breach of this EULA or any other Orderflow Haus policy.

Your use or misuse of the Services or any Proprietary Content.

Your violation of any applicable law, regulation, or third-party right, including intellectual property rights.

Any trading or investment decisions made by you in connection with or as a result of your use of the Services.

Any content or information you submit, post, or transmit through our platforms.

TERM AND TERMINATION

This EULA is effective from the date you first access the Services and continues for the duration of your authorized access, unless earlier terminated in accordance with its terms.

Termination by You

You may terminate this EULA at any time by cancelling your subscription through your Whop account dashboard and ceasing all use of the Services. Termination does not entitle you to a refund of any fees paid, in accordance with our Return and Refund Policy.

Termination by Orderflow Haus

Orderflow Haus may suspend or terminate your access to the Services immediately and without prior notice if:

You breach any provision of this EULA, our Terms and Conditions, or any other applicable policy.

You engage in fraudulent, abusive, disruptive, or unlawful conduct in connection with the Services.

You initiate a fraudulent or unjustified chargeback or payment dispute.

We are required to do so by applicable law or a court order.

We discontinue the Services, in whole or in part, for any reason.

Effect of Termination

Upon termination of this EULA for any reason: (i) all licenses granted to you hereunder immediately cease; (ii) you must immediately cease all use of the Services and delete any Proprietary Content in your possession; (iii) any accrued payment obligations survive termination; and (iv) provisions of this EULA that by their nature should survive termination shall survive, including but not limited to Sections on Intellectual Property, Restrictions on Use, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

GOVERNING LAW AND DISPUTE RESOLUTION

This EULA shall be governed by and construed in accordance with the laws of the United States and the state in which Orderflow Haus is principally operated, without regard to conflict of law principles.

Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact Orderflow Haus through our official channels and attempt to resolve the dispute informally in good faith. Most concerns can be resolved quickly and amicably through direct communication.

Binding Arbitration

If informal resolution is not achieved within thirty (30) days, any dispute, claim, or controversy arising out of or relating to this EULA or the Services shall be resolved exclusively through final and binding arbitration administered under the rules of a mutually agreed arbitration body. The arbitration shall be conducted on an individual basis and shall not be consolidated with any other arbitration or dispute.

Class Action Waiver

YOU AND ORDERFLOW HAUS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING IN CONNECTION WITH ANY DISPUTE ARISING UNDER THIS EULA.

EEA and UK Users

Nothing in this Section shall deprive users in the European Economic Area or United Kingdom of any mandatory consumer protection rights afforded by applicable law, including the right to bring claims before the courts of their country of residence where required by law.

CHANGES TO THIS EULA

Orderflow Haus reserves the right to modify this EULA at any time. We will provide notice of material changes by posting an updated version to our Whop page or Discord server, with a minimum of fourteen (14) days' notice prior to the changes taking effect where practicable. Your continued use of the Services following the effective date of any modification constitutes your acceptance of the revised EULA. If you do not agree to the revised terms, you must cancel your subscription and cease use of the Services before the changes take effect.

SEVERABILITY AND WAIVER

If any provision of this EULA is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect. The failure of Orderflow Haus to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision unless acknowledged and agreed to in writing.

ENTIRE AGREEMENT

This EULA, together with our Terms and Conditions, Return and Refund Policy, and Privacy Policy, constitutes the entire agreement between you and Orderflow Haus with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, representations, or agreements, whether oral or written, relating to the Services. In the event of any conflict between this EULA and any other Orderflow Haus policy, this EULA shall govern with respect to licensing matters.

MANDATORY RIGHTS

Refund, termination, liability, and dispute provisions in this EULA are subject to non-waivable rights under applicable law and Whop's applicable payment policies. A good-faith payment dispute does not by itself constitute a breach.
